Dealer Terms and Conditions
STOREFRONT: All stores applying to be a TOTAL PEEP dealer must have a legitimate business license and a storefront or website selling outdoor gear. Storefronts must have set hours in which they are open for customers. Proof of license or storefront must be provided if requested by TOTAL PEEP.
DEALER APPROVAL: All dealers requesting to sell TOTAL PEEP products must go through an approval process that may take up to 1 week. You will receive a dealer welcome letter after approval outlining the following terms.
Your submittal of the dealer application also reflects your acceptance of the terms below.
PAYMENT TERMS: TOTAL PEEP may assign terms of Net 30 to all new dealers. Please note that Net 30 terms will be revoked if a pattern of late payments is established. TOTAL PEEP will do its best to accommodate special billing instructions, such as emailing invoices, mailing invoices, or other special requests. Missing special accommodation instructions does not alter NET 30 terms in any way. Payment can be done by wire transfer or Credit card.
LATE PAYMENT FEES: Late invoice payments will be charged a $25 late fee plus a 2% finance charge that will be billed monthly on any outstanding balance.
MINIMUM ADVERTISED PRICING (MAP): We have a strict MAP policy to ensure our dealers have an equal opportunity to succeed. By signing our initial dealer applycation, you certify that you have read our
MAP policy. We enforce this policy in order for both our Pro Shops and online retailers to succeed without either having an advantage over the other. By placing your first order with us, you agree that you will follow this MAP policy and not sell TOTAL PEEP products below the designated MAP price. Dealers and retailers who choose not to follow this MAP policy will not go unnoticed and will be contacted to resolve the issue.
If we find that the issue has not been resolved after our first contact, we reserve the right to terminate this dealer agreement. Read our full MAP Policy down this page.
E-COMMERCE ONLY RETAILERS: You may NOT distribute our products to any
e-commerce-only retailers, this includes but is not limited to Amazon, eBay, and Walmart.com. Read our eCommerce Reselling Policy down this page.
FREIGHT/SHIPPING: All orders will be shipped via USPS Priority Mail or UPS. Vendor will be responsible for all shipping costs unless otherwise specified in written agreement with TOTAL PEEP for orders under $200. Shipping cost is free for orders over $200. Please let us know if you have a freight account number or account we may ship under.
WARRANTY: TOTAL PEEP limited lifetime warranty covers all mechanical failures, manufacturing defects, and workmanship defects excluding any repair or replacement of products with normal wear and/or obvious
abuse. For warranty questions or claims, please contact us at info@totalpeep.com prior to sending back any items. A Return Authorization (RA) number will be assigned to your claim which will help us track your claim once received. We will send to you the shipping label to return the products to us, and we will take care of the cost. Warranty claims will be assessed on an individual basis. A brief description of the claim must be included with the returned item. TOTAL PEEP will ship the item back to you free of charge. If an item arrives damaged or is lost, it is the customer/dealer’s responsibility to file a freight claim with the carrier for reimbursement.
RETURNS/EXCHANGES: You have 30 calendar days to return an item from the date you received it. To be eligible for a return, items must be unused and in the same condition that you received it. A 15% restocking fee may apply. To return your item, you must contact us at sales@totalpeep.com to receive a Return Authorization (RA) number that will be unique to your return and you will also receive a shipping label. Put the shipping labelo n the package and we will take it. You must mark your return shipping package with the RA number clearly identified on the outside along with your return address. Please note that the same guidelines as outlined in the Warranty section will apply.
REFUNDS: Refunds will be applied as credits to your account to be used at a later date.
OTHER: Any other terms or conditions not expressly defined in this document, are not valid unless both the Vendor’s agent and TOTAL PEEP agree to those terms in writing.
TOTAL PEEP S.L. reserves the right to change pricing and product specifications at any time without notification.
MAP Policy
1.INTRODUCTION
We recognize that our successis tied to the success of our network of select authorized distributors and dealers. We also know that our distributors and dealers invest significant time and resources to deliver an extraordinary customer experience. We want to protect their ability to do so, while at the same time discouraging price-based
advertising that would be detrimental to our dealer's service and support efforts. As a result, TOTAL PEEP has unilaterally established this Minimum Advertised Price (“MAP”) Policy.
2. POLICY STATEMENT
TOTAL PEEP, in its sole discretion, reserves the right to discontinue doing business with any reseller that advertises any product(s) covered by this MAP Policy at a price lower than the MAP.
3. GENERAL GUIDELINES
All TOTAL PEEP products are covered by this policy.
TOTAL PEEP recognizes that dealers are free to make their own decisions to advertise and sell any TOTAL PEEP product at any price they choose, without consulting or advising TOTAL PEEP.
Similarly, TOTAL PEEP will exercise its right to make its own decisions regarding the TOTAL PEEP Authorized Reseller Conditions, supplemental marketing materials, point-of-purchase displays, product allocation, new product availability, or future promotional, joint marketing, or sponsorship programs.
4. ADVERTISING GUIDELINES
The MAP Policy applies to all advertisements of MAP Products in any and all media, including but not limited to flyers, posters, coupons, mailers, inserts, newspapers, magazines, catalogs, television, radio, and public signage, as well as Internet sites, social media sites, apps, or any other electronic media.
The MAP Policy does not apply to solely on premise or in-store advertising that is not distributed to customers.
Website features such as “click for price”, automated “bounce-back” pricing e-mails, pre-formatted e-mail responses, forms, and automatic price display for any items prior to being placed in a customer’s shopping cart, and other similar features are considered to be communications initiated by the dealer (rather than by the customer) and thereby constitute “advertising” under this MAP Policy.
It shall not be a violation of this MAP Policy to advertise that a customer may “call for price” or “email for
price”, or to use similar language, specifically with respect to TOTAL PEEP Products, so long as no price is listed.
This MAP Policy also applies to any activity which TOTAL PEEP determines, in its sole discretion, is designed
or intended to circumvent the intent of this MAP Policy, such as solicitations for ‘group purchases’ and the like.
It shall not be a violation of this MAP Policy to advertise in general that the reseller has “the lowest prices” or will match or beat its competitors’ prices, or to use similar phrases; so long as the reseller does not include any advertised price below MAP and otherwise complies with this MAP Policy.
From time to time, TOTAL PEEP may permit resellers to advertise MAP Products at prices lower than the MAP
retail price. In such events, TOTAL PEEP reserves the right to modify or suspend the MAP retail price with respect to the affected products for a specified period of time by providing advance notice to all resellers of such changes.
TOTAL PEEP may offer a direct manufacturer’s rebate to customers. In such events, it shall not be a violation of this MAP Policy to advertise the availability of the manufacturer's rebate, provided that:
6. POLICY ENFORCEMENT
If a dealer with multiple store locations violates this MAP Policy at any one store location, or on any associated website, then TOTAL PEEP will consider this to be a violation by the dealer.
TOTAL PEEP reserves the right to cancel any pending orders, restrict future orders, or suspend dealers'
account if TOTAL PEEP reasonably believes:
TOTAL PEEP 's MAP Policy Administrator is solely responsible for determining whether a violation of the
MAP Policy as occurred, as well as determining appropriate sanctions.
Waivers to this MAP Policy may be granted in TOTAL PEEP 's sole discretion by the MAP Policy Administrator in
writing. TOTAL PEEP Sales, Marketing, or other personnel are not authorized to modify or grant exceptions to the MAP Policy. In the event that the MAP Policy Administrator authorizes a waiver to the MAP Policy, dealers must strictly adhere to the terms of the waiver letter. Deviation from the terms of a waiver letter is a violation of the MAP Policy.
TOTAL PEEP monitors the advertised prices of dealers, either directly or via the use of 3rd party agencies or tools. Dealers are expected to provide reasonable cooperation in any TOTAL PEEP investigations regarding possible MAP Policy violations. Hindering, obstructing, delaying, or otherwise failing to cooperate with a TOTAL
PEEP MAP Policy investigation is a violation of this MAP Policy.
The MAP Policy will be enforced by TOTAL PEEP in its sole discretion and without notice. Dealers, distributors,
resellers, have no right to enforce the MAP Policy. Violations of this policy may result in any of the aforementioned sanctions up to and including termination of our business relationship, as well as any available remedies at law.

Ecommerce Rellesing Policy
TOTAL PEEP S.L. is committed to working with customers to facilitate the sale of Total peep products through ecommerce channels. TOTAL PEEP S.L. maintains an eCommerce Authorized Reseller Policy to protect Total peep brand and intellectual property, as well as authorized channel partners. This policy is also in place to protect end customers, ensuring they receive accurate product information, pricing, and warranty protection that meets Total peep standards. Finally, the policy works to ensure fair competition among resellers as well as supporting those who have invested in stocking and marketing Total peep products and abide by Total peep
policies and programs. TOTAL PEEP S.L. will interpret and enforce this policy at its sole discretion. In order to be considered an eCommerce Authorized Reseller (“Reseller”), you must meet the following requirements:
SELL ON APPROVED WEBSITES ONLY
Unless otherwise explicitly authorized in writing by an Employee/Owner of TOTAL PEEP S.L. Solutions subsequent to the effective date of this policy, Resellers may only take orders via websites owned and operated by their own company. Selling on third party marketplaces (e.g., Amazon, eBay, Walmart, etc.), dropship accounts (e.g.,
Wish.com, Jet.com, etc.) or classified sites (e.g., Craigslist, Facebook Marketplace, etc.) is strictly prohibited, only under Total peep authorization.
MAINTAIN ACCURATE BRAND AND PRODUCT INFORMATION
Maintain proper use of all Totalpeep S.L. trademarks.
Sell product only in original packaging.
Do not duplicate or develop different UPCs to differentiate a product.
Sell Only to End Users
Only resellers purchasing products directly from Total peep S.L. or an authorized Total peep distributor
are authorized to resell products through ecommerce in accordance with this policy.
Authorized resellers should not sell Total peep products to other ecommerce resellers. Total peep recognizes
that sales to ecommerce resellers may inadvertently occur from time to time. Therefore, in the event you inadvertently transact with other ecommerce resellers, you must disclose the details of those transactions (e.g., when and to whom such products were sold) so that Total peep may enforce this policy.
Sellers transacting Total peep products through ecommerce that did not procure the product from Total peep directly or an authorized Total peep distributor are not authorized to sell Total peep products online or use Total peep trademarks, copyrights, images or product information. Total peep reserves the right to take enforcement action against the seller and supplier of the product in accordance with this policy.
DISCLOSE ALL SELLER NAMES & PROPERTIES
Accurate and up todate company information and disclose all retail locations, web properties, temporary storefronts and seller names across all channels directly to TOTAL PEEP S.L.. Any seller transacting through ecommerce must report all websites and seller names advertising or transacting TOTAL PEEP products to sales@totalpeep.com.
Provide eCommerce Sell-Through Data Upon Request
Upon request, provide ecommerce sell-through point of sale data by UPC and web property.
Total peep Minimum Advertised Price Policy
All Resellers must abide by Total peep MAP policy as set forth at the dealer application form.
LEGAL COMPLIANCE
Resellers acknowledge that they will comply with all applicable laws, rules and regulations related to the
advertising, sale, and marketing of Total peep products, including but not limited to:
Don’t make false or misleading claims or engage in deceptive sales tactics.
If you email customers, comply with all privacy policy laws.
If you maintain an online presence, you must publish a privacy policy and comply with it.
Enforcement
Resellers that fail to comply with any term in this policy will be subject to enforcement actions at Total
peep discretion including but not limited to:
Loss of authorization to sell Total peep product online.
Suspension of shipments.
Permanent termination of Resellers account with Total peep.
Resellers may not circumvent any term of this policy through any means. Total peep will interpret any violations of this policy in its sole discretion. No failure or delay of enforcing this policy shall be deemed a waiver of right. Total peep S.L. reserves the right to modify this policy at any time.
ECOMMERCE AUTHORIZED RESELLER BENEFITS
Resellers that abide by all facets of this policy will be deemed authorized to sell Total peep S.L. products in ecommerce, provided they maintain constant adherence to the policy. Authorized Resellers understand they do not have any proprietary rights to Total peep S.L. trademarks or other intellectual property but are authorized to use Total peep trademarks, copyrights, images and product information for the sole purpose of reselling Total peep products.
